Client Results & Performance Waiver

Client acknowledges and agrees that Agate & Pine Consulting provides strategic advisory services only, and does not guarantee any specific business outcomes.

By engaging in services, Client expressly agrees:

All recommendations, strategies, and insights are advisory in nature

Implementation is solely the responsibility of the Client

Results may vary significantly based on:

Market conditions

Internal operations

Staff execution

Pricing decisions

External economic factors

Client further agrees:

No guarantees have been made regarding:

Revenue increases

Occupancy rates

ADR (Average Daily Rate)

RevPAR (Revenue per Available Room)

Guest retention or satisfaction

Client assumes full financial and operational risk for all decisions made based on consulting services.

Agate & Pine Consulting shall not be held liable for:

Business performance outcomes

Loss of revenue or profits

Missed opportunities

Operational failures

Non-Circumvention & Non-Compete

During the term of engagement and for a period of 12 months following completion, Client agrees:

Non-Circumvention

Client shall not directly or indirectly bypass, avoid, or circumvent Agate & Pine Consulting to:

Engage contractors, partners, or vendors introduced by Consultant

Replicate proprietary frameworks for commercial resale

Use Consultant’s strategies to create competing consulting services

Non-Compete (Limited Scope)

Client agrees not to create, sell, or market a substantially similar consulting service that directly replicates:

Revenue audit frameworks

Guest journey monetization models

Pricing psychology systems

Shoulder-season revenue strategies

This clause applies specifically to:

Hospitality consulting services targeting boutique or luxury accommodations

This does not restrict:

Client’s operation of their own hospitality business

Internal use of strategies

NON-DISCLOSURE AGREEMENT (NDA)

This Agreement is entered into between:

Agate & Pine Consulting (“Disclosing Party”)
and
Client (“Receiving Party”)

1. Confidential Information

Includes, but is not limited to:

Revenue strategies

Pricing frameworks

Guest experience systems

Internal reports and audits

Business operations and financials

Proprietary consulting methodologies

2. Obligations

Receiving Party agrees:

Not to disclose, share, or distribute confidential information

Not to use information for any purpose other than the consulting engagement

To protect information with reasonable security measures

3. Exclusions

Confidential Information does not include:

Publicly available information

Information independently developed

Information required to be disclosed by law

4. Term

This Agreement remains in effect for:

3 years from the date of disclosure

5. Breach

Unauthorized disclosure may result in:

Immediate termination

Legal action

Injunctive relief

6. Governing Law

Monthly Consulting Retainer Agreement

Client retains Agate & Pine Consulting for ongoing strategic advisory services including:

Monthly revenue analysis

Pricing optimization reviews

Shoulder season planning

Upsell strategy refinement

Fees

Monthly Retainer: $ 1500 - 5000

Payment due in advance

Auto-renewal unless canceled

Term

Minimum commitment: 1week to 3months

Cancellation

14 days written notice required

No prorated refunds

Includes:

Up to 8 hours/month

Email or Slack support

Monthly strategy call

Overage

Additional time billed at: $150/hour

No Guarantee Clause

Consulting recommendations

Client confirms:

They have the legal right to share this data

Data provided is accurate to the best of their knowledge

Data Use & Protection

Data will not be sold or shared externally

Data may be used in anonymized form for:

Internal research

Case studies (without identifying details unless approved)

Third-Party Tools

Client understands that analysis may involve:

AI tools

Analytics software
